Vendor Terms & Conditions Agreement

Please read this Agreement carefully before completing your payment. By processing your vendor registration fee, you explicitly agree to be bound by all terms, conditions, codes of conduct, and liability waivers outlined below.

1. Strictly Non-Refundable & Non-Transferable Policy

• All Sales Are Final: All vendor registration fees (including Standard Location and Premium Location spots) are strictly non-refundable under any circumstances.

• No Transfers: Vendor spots are non-transferable. You may not sell, gift, or reassign your vendor booth to another business, individual, or entity. If you are unable to attend, your spot is forfeited.

• No Roll-Overs: Fees cannot be applied or rolled over as a credit to future CLT Black Owned events, markets, or initiatives.

2. Space Allocation & Inventory

• First-Come, First-Served: Vendor space allocation is strictly first-come, first-served.

• No Holds: No vendor spaces will be held, reserved, or guaranteed without a fully processed and completed payment. Your approval email does not secure your spot; only a successful payment locks in your registration.

3. Event Schedule & Mandatory Timeline

Compliance with the event timeline is mandatory to maintain a professional, safe experience for guests and vendors alike.

• Event Hours: 6:00 PM – 10:30 PM

• Standard Vendor Check-In: 3:30 PM – 4:15 PM

• Food Truck Check-In: 4:00 PM – 4:45 PM

• Setup Deadline: All vendors, food trucks, and sponsor spaces must be 100% set up, operational, and aesthetically complete by 5:30 PM.

• Event Doors Open: Guests are welcome to enter at 6:15 PM.

• Late Arrival Penalty: Vendors arriving after their designated check-in window may forfeit their space without a refund. Early packing or breakdown before 10:30 PM is strictly prohibited.

4. Voluntary Participation & Marketing Consent

• Voluntary Participation: By registering, you acknowledge that your participation in the Uptown Night Market is entirely voluntary and undertaken at your own financial and operational risk.

• Email List Subscription: By completing this registration, you explicitly agree to be subscribed to the CLT Black Owned email marketing and communication list. You will receive critical event updates, logistics info, and future organizational opportunities. You may unsubscribe at any time after the conclusion of this event.

• Media Release: You grant CLT Black Owned the right to photograph, film, or record your booth, products, and personnel during the event for promotional, social media, and marketing purposes without financial compensation.

5. Liability Waiver & Hold Harmless Clause

• Assumption of Risk: The vendor assumes all risks associated with participating in the Uptown Night Market, including but not limited to: theft, damage, loss of property, personal injury, inclement weather, or public health factors.

• Hold Harmless: You agree to defend, indemnify, and hold completely harmless CLT Black Owned, its founders, directors, employees, volunteers, event venues, and partners from any and all liability, claims, damages, losses, or expenses (including legal fees) arising out of or related to your booth operations, products, or personnel.

• Insurance Responsibility: CLT Black Owned does not provide insurance coverage for individual vendors. Vendors are strongly encouraged to carry their own general business liability insurance for the duration of the event.
